These Terms of Service ("Terms") govern your use of the KoPay mobile application ("App"), operated by Joseph Horvitz ("we," "us," or "our"). By creating an account or using KoPay, you agree to these Terms.
KoPay is a bill-splitting tool that helps groups of people divide shared expenses. You can scan receipts, let friends claim items, and generate payment request links. KoPay is not a payment processor, bank, or financial institution. We do not hold, transfer, or process any money. All payments happen directly between users through third-party services like Venmo.
You must be at least 18 years old to use KoPay. By creating an account, you represent that you meet this requirement.
You are responsible for maintaining the security of your account and for all activity that occurs under it. You agree to provide accurate information when creating your account and to keep it up to date.
You may not create accounts for others, use another person's account, or share your login credentials. We reserve the right to suspend or terminate accounts that violate these Terms.

When you scan a receipt, the image is sent to a third-party AI service (OpenAI) for processing. While we strive for accuracy, AI-extracted data may contain errors. You are responsible for reviewing and verifying all items, prices, tax, and tip before sharing a tab with others.
We are not responsible for inaccuracies in AI-processed receipt data.
KoPay generates payment request links that redirect users to Venmo or other third-party payment services. We do not process, facilitate, or guarantee any payments between users. All financial transactions occur entirely outside of KoPay and are governed by the terms and policies of the respective payment service.
KoPay includes a payment tracking feature where the tab host can confirm payments received. If a payment is not confirmed or disputed by the host within 48 hours, it will be automatically marked as confirmed. This auto-confirmation is a convenience feature and does not constitute verification that a payment was actually made.

You retain ownership of any content you submit to KoPay, including receipt images and tab details. By submitting content, you grant us a limited license to store, process, and display it as necessary to provide the App's features.
You are solely responsible for the content you submit and must ensure you have the right to share it.
Your use of KoPay is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. We do not sell your personal data to third parties.
To the maximum extent permitted by law, KoPay and its operator are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App. This includes, but is not limited to, damages arising from:
Our total liability for any claim related to the App shall not exceed the amount you paid us in the 12 months preceding the claim (which, as KoPay is currently free, is $0).
KoPay is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. We make no guarantees about the accuracy of AI-processed receipt data or split calculations.
You agree to indemnify and hold harmless Joseph Horvitz and KoPay from any claims, damages, losses, or expenses (including legal fees) arising from your use of the App, your violation of these Terms, or your disputes with other users.
You may delete your account at any time through the Settings screen in the App. We may suspend or terminate your account if you violate these Terms or engage in conduct that is harmful to other users or the App.
We may update these Terms from time to time. If we make material changes, we will notify you through the App or by other means. Your continued use of KoPay after changes are posted constitutes your acceptance of the updated Terms.
KoPay, including its name, logo, design, and underlying technology, is the property of Joseph Horvitz. These Terms do not grant you any rights to our intellectual property except the limited right to use the App as intended.
These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of KoPay shall be resolved in the courts of the State of Florida.
Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at contact@kopayapp.co. We will attempt to resolve the dispute within 30 days.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and KoPay regarding your use of the App.
